The clauses businesses overlook in commercial leases

Rent is the number most tenants negotiate. The cost of a lease is usually decided by the clauses nobody read closely.

A commercial lease allocates far more than occupation. It allocates cost, risk and flexibility for the whole of the term, and most of that allocation happens outside the rent clause.

Repair and reinstatement

A full repairing obligation can require a tenant to hand back premises in better condition than they were received. A schedule of condition, agreed and attached before signing, limits that exposure.

Reinstatement obligations at the end of the term deserve the same attention: fit-out that was approved is not automatically fit-out that can remain.

Service charge

Uncapped service charges transfer the landlord's cost decisions onto the tenant. Ask what is included, whether major works can be recovered, and whether the charge is capped or subject to a cost-sharing formula.

Rent review and escalation

Review mechanisms, escalation rates and the review dates themselves determine the real cost of the term. Model the rent across the full period rather than the first year.

Exit and flexibility

Break rights that depend on strict conditions frequently fail. Assignment and subletting restrictions decide whether the space can be handed on if the business changes shape.

  • Are break conditions realistically achievable
  • Is landlord consent to assign qualified by reasonableness
  • Can part of the premises be sublet
  • What notice is required, and in what form

A practical approach

Read the lease as an operating document. If the facilities team cannot follow it without a lawyer, the obligations will eventually be missed.
